1. General Provisions
1.1. These Terms and Conditions ("Terms") govern all services provided by Albion Construction ("Contractor"), a licensed General Contractor in New York City, to its clients ("Client").
1.2. By engaging our services, the Client agrees to be bound by these Terms in their entirety.
2. Services
2.1. Scope of Work
The Contractor shall provide construction, renovation, and related services as specified in the written contract or work order.
Any services not explicitly included in the written contract are excluded from the scope of work.
The scope of work may include residential construction, commercial projects, renovations, and various specialty services as agreed upon.
2.2. Project Management
The Contractor will provide on-site supervision and project management throughout the duration of the project.
The owner will personally oversee quality control and project progression.
3. Payment Terms
3.1. Pricing
All prices are quoted in US dollars and are valid for 30 days from the date of proposal.
Prices are subject to change if the scope of work is modified.
3.2. Payment Schedule
A deposit of 30% is required upon contract signing.
Progress payments will be scheduled according to project milestones as outlined in the contract.
Final payment is due upon substantial completion of the project.
3.3. Late Payments
Payments not received within 15 days of the due date will incur a 1.5% monthly interest charge.
Work may be suspended until outstanding payments are resolved.
4. Project Execution
4.1. Timeline
Project timelines will be established in the contract.
Timelines are estimates and may be affected by factors including weather, material availability, and unforeseen conditions.
4.2. Change Orders
Any modifications to the original scope must be documented in a written change order.
Change orders must be approved and signed by both parties before additional work commences.
Additional costs associated with change orders must be paid according to the terms specified in the change order.
5. Materials and Workmanship
5.1. Quality Standards
All work will be performed in accordance with industry standards and NYC building codes.
Materials will be new unless otherwise specified and agreed upon in writing.
5.2. Warranties
Contractor provides a one-year warranty on workmanship.
Manufacturer warranties on materials and equipment will be passed through to the Client.
Warranty claims must be submitted in writing within the warranty period.
6. Permits and Compliance
6.1. Building Permits
The Contractor will obtain necessary building permits.
Permit fees will be passed through to the Client unless otherwise specified.
6.2. Code Compliance
All work will comply with applicable NYC building codes and regulations.
The Contractor maintains required licenses and certifications.
7. Insurance and Liability
7.1. Insurance Coverage
The Contractor maintains general liability insurance and workers' compensation coverage.
Certificates of insurance will be provided upon request.
7.2. Property Protection
The Contractor will take reasonable precautions to protect the Client's property.
The Client should remove or secure valuable items from the work area.
8. Termination
8.1. Termination by Client
The Client may terminate the contract with 30 days written notice.
The Client will be responsible for work completed and materials ordered prior to termination.
8.2. Termination by Contractor
The Contractor may terminate the contract for non-payment or substantial breach of terms.
Written notice will be provided prior to termination.
9. Dispute Resolution
9.1. Good Faith Resolution
Parties agree to attempt to resolve disputes through good faith negotiation.
Mediation will be attempted before pursuing legal action.
9.2. Governing Law
These Terms are governed by the laws of the State of New York.
Any legal proceedings shall be conducted in New York City courts.
10. Force Majeure
10.1. Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including but not limited to acts of God, governmental actions, wars, pandemics, or natural disasters.
11. Severability
11.1. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
